CONSTITUTION (REVISED Dec 2012)

CONSTITUTION APPROVED JULY 2013

 

Status

This constitution adopted on 19th July 2013 replaces all previous constitutions.

 

Name

The name of the Association shall be the ‘North Wales Association of Town and Larger Community Councils’.

 

Objects

The objects of the Association shall be as follows:

 

a)          To give a forum for member councils to discuss common issues.

b)          To respond to relevant consultations with regard to both Parliament and the Welsh Assembly.

c)          To support and act upon subjects agreed by the members.

d)          To represent members views wherever they are needed.

e)          To host a conference on an annual basis.

 

Overall Policy

The overall policy of the Association shall be as contained in the 3 year plan as published and which shall be reviewed each year at the Annual Conference starting in 2014.

 

Membership

Membership of the Association shall be open to any Council (as defined by the Local Government Act 1972) who has an electorate of more than 1,000 at the date of application and which Council is located within Mid or North Wales. (Montgomeryshire, Ceredigion, Conwy, Anglesey, Flintshire, Denbighshire, Wrexham and Clwyd.

 

Management

The Management of the Association shall be in accordance with the Standing Orders adopted by the Association.

 

President and Vice President

The Association shall have a President and Vice President who shall be elected every 5 years with the first of such elections being held at the Annual General Meeting in July 2013.

In the absence of Officers to manage the Association the President shall preside over such matters until such Officers are put in place.

The President and Vice President shall, at the time of election, be serving Town or Community Councillors.

If during the period of office the cease being a Councillor they may continue until the end of the 5 year term.

A President may only stand for one period of 5 years and may not seek re-election after that period.

All past presidents may attend Association Meetings.

 

Finance

The finances of the Association shall be in accordance with the Standing Orders adopted by the Association.

The accounts are to be presented to the Association at the Annual General Meeting and audited annually.

All cheques shall have at least 2 signatories.

 

Annual Meetings

The Annual General Meeting of the Association shall be held in July of each year and is to be held in accordance with the Standing Orders adopted by the Association.

 

Annual Conference

There shall be an annual conference held following the Annual Meeting each year.

 

Other Meetings

All other meetings of the Association shall be held in accordance with the Standing Orders of the Association.

 

Standing Orders

The Association shall adopt Standing Orders for the conduct of its meetings.

These to be reviewed annually at the Annual General Meeting of the Association.

 

Alterations to Constitution

The constitution may not be altered in any way other than by resolution at the Annual General Meeting of the Association.

 

Dissolution of the Association

The Association may only be dissolved by resolution at the Annual General Meeting of the Association.  Upon dissolution any funds shall be held in a bank account until at least 5 years after dissolution (to be used for any successor Association) and thereafter shall be distributed to a registered charity or charities as agreed at a special meeting of member Councils as they were at the date of the dissolution.

 

Adoption

The Association adopted this revised constitution on    July 2013.
